Real Estate

Real estate creates and destroys many fortunes. You have to look no further than the last REIT boom and compare the divergent results achieved by Starwood Hospitality and Patriot American Hospitality. With careful analysis and planning, there are few more certain paths to wealth than simple, ongoing real estate investing. However, without foresight, it is also one of the surest paths to illiquidity, negative cash flow, increased risk and financial trouble.

Real estate requires a special set of skills because even one asset can have a multitude of issues (legal, valuation, ownership, management, financing, tax). Each one could be critical to your ultimate success or failure with that asset.

Our real estate advisory practice caters to all segments of the market and we deliver a full range of legal services covering Hotels, Resorts, Timeshare, Multi-family, Residential and Commercial, Acquisitions; Financings; Ownership and Structuring; Leasing; Development; Portfolio Management; Landlord and Tenant; Condominium/HOA; Contract Disputes (Brokers, Buyers and Sellers) and Mediation Services. See Results.

Our real estate practice serves three type of clients:

Large Real Estate Companies. While a tax professional at Arthur Andersen, Chris Adishian served clients that owned large industrial real estate portfolios, management structures and complex real estate holding structures, domestically and cross border. As an investment banker, he gained "domain expertise" in the US and Canadian hospitality markets, covering REITS, hotel owners and operators, management companies, timeshares, golf and cruise lines as well as technology and software companies serving the hospitality and real estate industries. We are able to provide legal, financing and tax advisory services to owners in a uniquely efficient manner.

Professional Investors. In this segment, our typical client already has a successful business or businesses, and wants to place their capital into "hard assets" for a variety of reasons such as diversification, cash flow, capital appreciation or tax benefits.

Individual Buyers and Sellers. Our typical client here is a Buyer or Seller of a property who requires legal assistance to close or invalidate a transaction. In California, every residential real estate contract REQUIRES mediation before the parties commence litigation. Arbitration is optional, but mediation is mandatory. While we can often resolve dispute short of mediation or litigation, we do offer full representation throughout mediation, arbitration and litigation.
